MLM legality / India

Is MLM legal
in India?

Direct selling is legal in India when it is run as a real product business and follows the Consumer Protection (Direct Selling) Rules, 2021. Pyramid schemes and money circulation schemes are banned. In practice, pay must come from genuine product sales, not from recruiting or joining fees. This is general information, not legal advice. Consult a lawyer.

The table lists only points we could trace to official sources or to published legal commentary. The last column shows how far we could confirm each point. Where we could not read the final gazette text, we say so.

How MLM software helps you stay organised (it does not make you legal)

Software cannot make a business lawful. Your plan, your product and your conduct decide that. What good software can do is make rules easier to follow and easier to show:

  • Records. Every order, member, wallet entry and payout is stored with a date, so you can answer an audit or a complaint with data instead of memory.
  • Commission tied to product sales. The plan engine can calculate bonuses from recorded product orders (business volume), and not from joining payments.
  • Refund reversals. When an order is refunded or cancelled, the related commissions can be reversed automatically, so you do not pay out on sales that did not stay.
  • KYC. Members complete KYC onboarding in the software before payouts.
  • TDS and payout reports. Exportable payout and deduction reports help your accountant. Your CA decides the tax treatment.
  • Complaint trail. Your grievance contact can be shown in the member back office and website, and your team can log what was raised and answered.
  • Admin controls. Role-based access and two-factor login limit who can change plans or payouts.

We build these features into our MLM software. Software starts from Rs 15,000 for ready-to-launch and Rs 35,000 for custom. Crypto MLM starts from Rs 30,000 ready-to-launch and Rs 45,000 custom. See the price page for plan-by-plan detail.

Frequently asked questions

Is MLM legal in India?

Direct selling of real products through a network is allowed in India if it follows the Consumer Protection (Direct Selling) Rules, 2021. Pyramid schemes and money circulation schemes are banned, including under the Prize Chits and Money Circulation Schemes (Banning) Act, 1978. This is general information, not legal advice. Consult a lawyer.

What are the Direct Selling Rules 2021?

They are rules notified by the Ministry of Consumer Affairs, Food and Public Distribution on 28 December 2021 under the Consumer Protection Act, 2019. They set duties for direct selling entities and direct sellers, and bar pyramid and money circulation schemes. Read the final text in the Official Gazette, and check for amendments.

Can I charge a joining fee in my MLM?

Legal commentary on the Rules reports a ban on entry or joining fees, and we build software so that no pairs or bonuses are paid on joining fees. We could not read the final gazette wording, so ask your lawyer before you charge any fee, including a starter kit.

What is the difference between MLM and a pyramid scheme?

In lawful direct selling, income comes mainly from real product sales to customers. In a pyramid scheme, income comes mainly from recruiting people who pay in. A binary or unilevel plan can be run either way, so the plan, the product and the conduct decide, not the shape. A lawyer should review yours.

Does MLM software make my business compliant?

No. Software cannot make a business lawful. It can keep records, tie commission to recorded product orders, reverse commission on refunds, run KYC onboarding and produce payout reports, which helps you follow your own rules and show your data. Compliance still depends on your plan and your lawyer's advice.

Do state laws matter as well as the central rules?

Yes, they can. States can act against schemes under their own powers, and the 1978 Act is also enforced locally. We did not verify state-by-state rules for Punjab, Himachal, Rajasthan, UP or Bihar, so ask a local lawyer about the states where you will operate.
